Programme Overview
Private Equity is an important source of both strategic and growth capital for Indian companies. From the start-up phase to a listed company, private equity finds application in every phase of growth. The vibrancy of the capital market provides the necessary impetus to a thriving private equity sector and multiple financing opportunities for growth-oriented companies.

This programme is designed to address the learning requirements of professionals, academics and students engaged in or interested in learning the nuances of private equity and capital market financing activity. It provides expert conceptual and practical insights on the entire gamut of private equity from both buy and sell strategies. Topics in private equity include Start-up VC financing, private equity valuations and deal structures, DDR, term sheets and regulatory aspects. Extensive discussions on PE strategy, documentation aspects and post-investment aspects are included.

Capital market financing topics shall include various forms of capital market fund raising comprising IPO, FPO, Rights, Preferential allotments and PIPEs/QIPs for listed companies. Discussions cover aspects such as strategic aspects of listing decision, planning and preparing the IPO blueprint, issue pricing and structure, facing due diligence, hiring intermediaries, the issue process, ICDR regulations, Offer Documents and important aspects of disclosures and representations.

  • Valuation approaches for early-stage private equity (Venture Capital) and later stage private equity
  • Fund perspective, role play, board level engagement and managing exit requirements.
  • Specific coverage of the start-up phenomenon
  • Legal aspects of shareholders’ agreement and share subscription agreement.
  • Going public – The listing decision – strategic and financial aspects, planning and preparing the IPO blueprint, facing diligence review, IPO process, regulatory framework, important compliances and certifications.
  • Rights issues, FPOs, QIPs, PIPEs and preferential private placements – strategic considerations, SEBI regulations, Company Law requirements, pricing requirements and process overview.
  • Case studies and group work.

Programme Directors

Prof. AshokDr. Ashok Thampy is Associate Professor in Finance at IIMB. His areas of interest are Corporate Finance, Financial Risk Management, Industrial Economics, Banking, and Regulation. He teaches corporate finance and banking in the MBA and executive education programmes at IIMB. Prior to joining IIMB, he was at the Department of Finance, Bilkent University, Turkey. He has also held visiting positions at the Department of Economics at Santa Clara University, USA, and the School of Business, Economics and Law, at the University of Gothenburg, Sweden.

Mr. Pratap Giri S, B.Com, FCA, FCS, MIOD is an independent corporate advisor and Adjunct Faculty at IIM Bangalore and other IIM campuses. He is also presently associated with ICAI, National Institute of Securities Markets, SPJIMR and Great Lakes Institute of Management. He has had extensive hands-on experience in Project and Infrastructure Finance, Private Equity, Capital Markets Financing, Restructuring, M&A, Strategic Finance and mentoring Family Managed Businesses. He has also been a corporate trainer for several leading banks and financial institutions such as BOI, UBI, PNB, Canara Bank, IL&FS, NABARD, LIC and GIC. He has written three books in the corporate finance area. He is also a speaker at various seminars and training programmes and is on the expert panel of ICAI and others.

Programme Charges

Programme Fee
INR 1,25,000/- Residential and INR 1,05,000/- Non-Residential (+ Applicable GST) per person for participants from India and its equivalent in US Dollars for participants from other countries.

Early Bird Discount
Nominations received with payments on or before 13-Jan-25 will be entitled to an early bird Discount of 10%.

Group Discount
Group Discount of 5% percentage can be availed for a group of 3 or more participants when nominations received from the same organization.

Please Note

  • The programme fee should be received by the Executive Education Office before the programme commencement date.
  • In case of cancellations, the fee will be refunded only if a request is received at least 15 days prior to the start of the programme.
  • If a nomination is not accepted, the fee will be refunded to the person/ organisation concerned.
