In the last few years, the corporate sector in India has been in the spotlight for various controversies, and those from 'gatekeeping' professions – auditors, security analysts, credit-rating agencies, etc. – have been unable to identify the same. On the other hand, across the world, whistle blowers have raised red flags and exposed many corporate frauds, including in India. The whistle blower mechanism is still in its nascent stage in India.

The legal framework pertaining to whistleblowing, protection of whistle blowers and its enforcement, is the Whistle Blowers Protection Act, 2014. However, the scope of the Act excludes the private sector. SEBI requires listed companies to have incentive-based whistle blower policies, mainly for insider trading. Given the increasing number of unlawful practices, fraud and syphoning of funds in the private sector, it is important to strengthen the policies in unlisted as well as listed companies. Above all, we need to examine the institutional changes and pressures that caused gatekeepers to underperform or neglect their responsibilities, and focus on feasible changes that can restore gatekeepers as the loyal agents of investors.

The panel discussion on April 19 will discuss these issues in detail. The panellists would be: M. Damodaran, Chairperson, Excellence Enablers Private Limited; Dr. Omkar Goswami, Founder and Chairperson, Corporate and Economic Research Group Advisory Private Limited (CERG), and Padmaja Chunduru, Managing Director and CEO, National Securities Depository Limited (NSDL). The moderator will be Vikram Chandra, Founder, Editorji Technologies. A Q&A session will be part of the session. Prof. Padmini Srinivasan, Chairperson, Centre for Corporate Governance and Citizenship and faculty from the Finance & Accounting area of IIMB, will lead the webinar.
